Loyalty Connection Terms

These Loyalty Connection Terms ("Loyalty Terms") govern the loyalty features provided by Layout, Inc. ("Layout," "we," "us"), including connecting your merchant loyalty accounts, earning loyalty points on orders placed through Layout, and redeeming those points. These Loyalty Terms supplement our Terms and Conditions, our Generative AI Terms, our Delegated Spending Authority Terms, our Refund Policy, and our Privacy Policy, all of which are available at layout.link/legal. By connecting a merchant loyalty account to Layout, you agree to these Loyalty Terms. If there is a conflict between these Loyalty Terms and our Terms and Conditions with respect to loyalty features, these Loyalty Terms control.

Beta Status

The loyalty features described here are in active development and are offered as a beta service. Supported merchants, supported login methods, the information we collect, and the way connections are stored and used may change as we build out this architecture. We may change, limit, suspend, or end any part of the loyalty features at any time. Where a change materially affects how your connections work, we will make reasonable efforts to tell you in the Layout web or iOS application.

Overview

When you connect a merchant loyalty account to Layout, you authorize Layout to sign in to that merchant account on your behalf so that orders you place through Layout are attributed to your loyalty account, so that you earn points as the merchant's program allows, and so that you can redeem points when you ask us to. Layout does not operate any loyalty program. Points, rewards, tiers, and balances belong to the merchant and are governed by that merchant's own program terms.

Supported Merchants

Loyalty connections are available only at merchants Layout currently supports. That list is limited today and is growing. We encourage merchants to connect their point of sale directly to Layout so their loyalty program is integrated at the source and the merchant owns the customer relationship with you. Merchants can learn about direct integration, and can review our terms, at layout.link/merchants and layout.link/legal. Merchants may also remove their storefront from Layout entirely at layout.link/merchants. If a merchant does that, or if a merchant otherwise becomes unsupported, loyalty connections for that merchant will stop working and any pending redemption will not be completed.

Connections Are Opt In and Per Merchant

Nothing is connected by default. Loyalty connections are not applied across merchants automatically, and adding a new merchant to our supported list does not connect your account there. You choose each merchant individually and add that connection yourself in the Layout web or iOS application. Until you do, Layout will not attempt to sign in to any merchant account on your behalf.

How Your Credentials Are Handled

When you add a connection, you enter your merchant username and password in the Layout web or iOS application. Those credentials are sent directly to Basis Theory, our tokenization provider, which operates under contract with Layout. Basis Theory holds the credential in its secure vault and returns a token to Layout. The token is all Layout keeps. Layout does not store your username or password in its own systems, and Layout personnel do not view or retain them in readable form. At the moment we place an order for you, that token is exchanged and the credential is released from the Basis Theory vault to Browserbase, our browser infrastructure provider, which also operates under contract with Layout. Browserbase injects the credential directly into the merchant's login page. Layout cannot show your password back to you and cannot recover it for you. No method of storage or transmission is completely secure, and we cannot guarantee absolute security.

When We Sign In

We sign in only when we need to. In practice that means when you ask us to place an order at a merchant you have connected. We do not sign in continuously, and we do not check your account in the background for no reason. If a sign in is not needed to complete what you asked for, we will not perform one.

What We Collect From Your Loyalty Account

When we are signed in, we collect your current points balance and the rewards the merchant offers at each point level. That is the information we use, and we do not pull other information from your merchant account for loyalty purposes. We use it to decide what can be redeemed and when, so that we can present accurate options to you and apply the correct reward when you ask. This information is handled under our Privacy Policy.

Redeeming Points

Redemption is off by default. We will not spend your points unless you ask us to. If you place an order without saying anything about points, we will place it as a normal paid order and leave your balance alone. When we build your cart and see that you have a balance that can be used, we will tell you and ask whether you want to use it. You can also ask for points to be used directly in your request. Redemption is subject to the merchant's rules, including which items qualify, how many points a reward costs, and whether rewards can be combined with other offers.

Earning Points

Because we sign in as you, orders placed through Layout at a connected merchant should be credited to your loyalty account the same way an order you placed yourself would be. Whether points are actually awarded, how many are awarded, and how long they last are all decided by the merchant. Layout does not issue points and cannot add, restore, or replace them.

Your Responsibilities

By connecting a merchant loyalty account, you confirm that the account is yours, that the information you provide is accurate, and that you have the right to authorize Layout to access it on your behalf. Some merchant loyalty programs restrict automated access, account sharing, or the use of third party services. You are responsible for reviewing the terms of any loyalty program before you connect it and for deciding whether to connect it.

Disconnecting

You can disconnect a merchant at any time in the loyalty section of the Layout web or iOS application. Removing a connector deletes the token Layout holds for that merchant and instructs Basis Theory to delete the stored credential, and we will no longer sign in there on your behalf. You can also change your merchant password at any time, which will stop Layout from signing in. If you change your password, please disconnect the Layout connector for that merchant as well. Leaving a stale connector in place can cause failed sign in attempts, which some merchants respond to by locking the account.

Failed Connections and Merchant Changes

Merchants change their websites, login flows, and security requirements without notice. A connection may stop working because of a site change, an added verification or multi factor step, a captcha, a service outage, or a merchant decision to block automated access. When that happens, we may not be able to sign in, earn points, or redeem a reward, and an order may fail or be placed without loyalty applied. Where an order itself is affected, our Refund Policy governs how the issue is reviewed.

Limits on Our Responsibility

Layout is not responsible for the decisions a merchant makes about your loyalty account. This includes suspending or closing your account, reversing or forfeiting points, changing what points are worth, changing or ending a program, refusing a redemption, or denying credit for an order. If something like this happens after you connect through Layout, contact us. We will make reasonable efforts to help you resolve it with the merchant, including providing your Layout order records, but we cannot restore points or reinstate an account, and we do not guarantee an outcome. Points have no cash value and Layout does not provide cash, credit, or refunds in place of points.

Changes to These Loyalty Terms

Layout may update these Loyalty Terms from time to time. Continued use of the loyalty features after an updated version becomes effective constitutes acceptance of the revised Loyalty Terms.
