Delegated Spending Authority

These Delegated Spending Authority Terms ("DSA Terms") explain how you authorize purchases through Layout, Inc. ("Layout," "we," "us").
Delegated Spending Authority is enabled by default on all accounts. It is how ordering through Layout works. You can turn it off at any time, as described below.
These DSA Terms supplement our Terms and Conditions, our Generative AI Terms, our Refund Policy, and our Privacy Policy. By creating a Layout account and placing an order, you agree to these DSA Terms. If there is a conflict between these DSA Terms and our Terms and Conditions with respect to spending authorization, these DSA Terms control.
Overview
When you buy something in person or on a website, your bank usually asks you to prove it is you. You type a PIN, approve a push notification, or complete a code challenge from your card issuer.
Layout works differently. Because an order is built in a conversation, your confirmation in that conversation is what authorizes the purchase. There is no separate card issuer challenge on each order.
This is what Delegated Spending Authority means. When you review an order and confirm it, you are authorizing Layout to purchase those items and to charge your card for them.
To protect you, this authority is capped by a daily spending limit that you control.
What Counts as Your Authorization
Before any order is submitted, Layout shows you the order, including the items, the merchant and location, and the total. Nothing is purchased until you respond.
You confirm by responding affirmatively. You decline by responding negatively.
Confirming an order is your authorization for that order. Once you confirm, Layout submits it to the merchant and the purchase proceeds. Orders cannot be canceled or recalled by Layout after you confirm. You are responsible for reviewing what you confirm.
How Confirmation Works on Each Surface
Layout iOS app. You confirm the order and complete Face ID, Touch ID, or your device passcode.
Text message and connector surfaces. On text message ordering and on connectors such as the Layout connector in Claude, ChatGPT, or Grok, you confirm by replying in the conversation. There is no device biometric step, because those surfaces do not support one.
Optional per-order code. You can turn on a setting that requires a code for every order, on any surface. This setting is off by default. Turning it on adds a step to every order.
Your Spending Limit
Your daily spending limit is the amount Layout can charge your card in a single day.
The default daily limit is $50
You can adjust it between $10 and $150
The maximum daily limit is $150
Layout does not currently support any individual order above $150
If an order would take you over your daily limit, or over the $150 per-order maximum, the order is declined. Layout will tell you, and you can order again once your limit resets or after you raise it.
You can view and change your daily limit at account.layout.link/security, or in Settings in the Layout iOS app.
Turning Delegated Spending Authority Off
You can turn Delegated Spending Authority off at any time at account.layout.link/security, or in Settings in the Layout iOS app.
Turning it off stops Layout from placing orders on your behalf on surfaces without a confirmation step you complete on your device. You can turn it back on at any time.
Turning it off does not affect orders you have already confirmed. Once you confirm an order, Layout submits it to the merchant and it cannot be recalled.
How Payment Works
Layout pays the merchant for your order using its own payment method, then charges the card on file to your Layout account for the order total.
The charge you see on your statement comes from Layout, not from the merchant. Layout Fees accrue separately to your tab and are charged at the end of your billing period, as described in our Terms and Conditions.
Card details are stored only in Stripe's PCI DSS Level 1 compliant vault. Layout does not store or log your full card number. Delegated Spending Authority does not change how your card information is stored or handled.
Supported Interfaces
Delegated Spending Authority applies to orders placed through Layout's official connectors and applications. This includes the Layout connector in Claude, the Layout connector in ChatGPT, the Layout connector in Grok, and the Layout iOS application, including orders initiated through Siri and Apple Intelligence.
Layout cannot reliably control the behavior of third-party interfaces we do not operate. Orders placed through connectors, integrations, or environments outside those listed above are not covered by the standard protections described in these DSA Terms. Claims arising from orders placed outside our official connectors and applications will be reviewed individually as described in our Refund Policy.
Pricing and Order Totals
Order totals presented to you before confirmation include the subtotal, applicable taxes, and any fees set by the merchant.
Layout does not add gratuity to orders by default. Pricing, availability, and merchant fees are controlled by participating merchants and may change. Where Layout can retrieve live pricing from a merchant's system, the total shown reflects that data at the time the order is built. Otherwise, pricing comes from merchant menu information and may be less exact.
If a total shown to you differs from what is charged, contact us and we will review it.
Duplicate and Unintended Orders
Layout guides third-party AI assistants and clearly reports the actions it has taken, but Layout does not control the behavior of third-party chat interfaces. If a third-party assistant submits a duplicate or unintended request, Layout may not be able to prevent the resulting order.
If you believe a duplicate or unintended order resulted from a failure of Layout's connector rather than the third-party interface, submit evidence for review. These claims are reviewed individually. Refund eligibility and process are governed by our Refund Policy.
Account Security
You are responsible for keeping your account, your devices, and your connected AI assistants secure. Layout treats an order confirmed from your account as coming from you.
If you believe your account has been accessed without your permission, or you see an order you did not confirm, turn off Delegated Spending Authority, lower your daily limit, and contact us immediately at support@layout.link. Contacting us promptly helps us investigate and limit any further activity.
Nothing in these DSA Terms limits any rights you have under applicable law or under your card issuer's terms, including your right to dispute a charge.
Order Records
Your order records are available in the Layout iOS application and web application, including the order preview you were shown and your confirmation. Review them regularly. If you see an order you did not intend, contact us promptly at support@layout.link so we can review it.
Suspension
Layout may suspend, restrict, or disable Delegated Spending Authority or lower your daily limit at any time, with or without notice, if we reasonably believe it is necessary to protect you, Layout, or our merchants. This includes suspected fraud, unusual activity, misuse of the Services, or violation of our Terms and Conditions or Generative AI Terms.
Errors and Refunds
Layout works to make our services accurate and reliable. Where Layout is responsible for an order error, we will work with you to resolve it. Eligibility, process, and timing for order errors and refunds are governed by our Refund Policy.
Limitation of Liability
The limitation of liability in our Terms and Conditions applies fully to these DSA Terms and to any order placed under Delegated Spending Authority. Layout is not liable for the acts or omissions of any third-party AI assistant, platform, provider, or merchant.
Changes to These DSA Terms
Layout may update these DSA Terms from time to time as this feature changes. Where we make material changes, we will provide notice before they take effect. Continued use of the Services after updated DSA Terms become effective constitutes acceptance.
